Terms and Conditions for Copeland Fabric and Wool Gift Certificates
The following Terms and Conditions govern the purchase, use, and redemption of Gift Certificates issued by Copeland Fabric and Wool. By purchasing or using a Gift Certificate, the customer (the "Purchaser") and the recipient (the "Holder") agree to be bound by these legal provisions. These terms are designed to protect the intellectual property of the brand, limit the liability of the merchant, and ensure a clear understanding of the contractual relationship between the buyer and the seller.
1. Scope of Use and Redemption
Gift Certificates issued by Copeland Fabric and Wool are valid exclusively for the purchase of physical inventory, specifically fabric, wool, and related haberdashery items available at the time of redemption. The certificate serves as a "closed-loop" stored value instrument, meaning it is only redeemable at the issuing merchant. The value of the certificate is applied toward the purchase price of Goods, including any applicable sales tax or shipping fees, unless otherwise prohibited by local law.
2. Non-Exchangeability for Cash
In accordance with standard commercial practices for retail gift instruments, Gift Certificates cannot be exchanged, traded, or redeemed for cash, currency, or credit to a bank account, except where required by specific state or provincial legislation. Once a certificate is purchased, its value is fixed to the procurement of Goods. If a purchase is for a value less than the total amount of the Gift Certificate, the remaining balance will be retained on the certificate for future use within the validity period; no cash change will be provided.
3. Expiration and Validity Period
Time is of the essence regarding the utility of the stored value. All Gift Certificates must be spent within twelve (12) months from the date of purchase. The "Date of Purchase" is defined as the date the transaction is processed and the certificate is issued to the Purchaser. Upon the passing of the 12-month anniversary of the issuance, any unused balance shall be void and the certificate will be rendered inactive. It is the responsibility of the Holder to monitor the expiration date; Copeland Fabric and Wool is under no obligation to provide notice of impending expiration.
4. Limitations of Liability and Risk of Loss
The risk of loss and title for Gift Certificates pass to the Purchaser upon our electronic transmission to the Purchaser or designated recipient, or delivery to the carrier, whichever is applicable. Copeland Fabric and Wool is not responsible if a Gift Certificate is lost, stolen, destroyed, or used without the Holder's permission. Under no circumstances shall the Seller be liable for incidental, indirect, or consequential damages arising from the inability to use a certificate due to loss or technical failure.
5. Governing Law and Dispute Resolution
These terms shall be governed by the laws of the jurisdiction in which the Buyer is domiciled, without regard to conflict of law principles. Any disputes arising from the use of Gift Certificates shall be resolved through binding arbitration or in a court of competent jurisdiction within said domicile. If any portion of these terms is found to be unenforceable by a court, the remaining provisions shall remain in full force and effect.
6. Amendments and Entire Agreement
Copeland Fabric and Wool reserves the right to change these Terms and Conditions at its sole discretion. Any such changes will apply to certificates purchased after the date of the amendment. This document constitutes the entire agreement between the parties regarding Gift Certificates and supersedes any prior oral or written communications.
